Terms of sale

These terms govern the sale of goods by Syngyns LLC through syngyns.store. By placing an order you accept them. Please read them; they are written to be read rather than to be impenetrable, and they say what we will and will not do.

1. Who you are contracting with

Goods are sold by Syngyns LLC, a limited liability company formed under the laws of the State of Texas, file number 806774434, with its principal address at 11532 Gatesville Drive, Frisco, Texas 75035. In these terms “we”, “us” and “Syngyns” mean that company, and “you” means the person or organisation placing the order.

2. How a contract is formed

Listings on this site are an invitation to treat, not an offer. Your order is an offer to buy. A contract is formed only when we send you a dispatch confirmation for the goods in question, and it covers only the goods named in that confirmation. An order acknowledgement is not a dispatch confirmation.

We may decline an order, in whole or in part, before dispatch. Reasons include a stock error, a pricing error, an address we cannot ship to, or an order we believe is not what it appears to be. If we decline we refund in full and tell you why.

3. Prices and errors

Prices are in United States dollars and exclude shipping, which is calculated at checkout, and exclude any sales tax where it applies. Prices may change without notice, but the price that applies to your order is the price displayed when you placed it.

If a price or specification is obviously wrong — a decimal in the wrong place, a press listed at the price of a bone folder — we are not obliged to supply at that price. We will contact you before dispatch, and you may confirm at the corrected price or cancel for a full refund. We will not quietly charge you the higher amount.

4. Payment

Payment is taken at checkout by card through our payment processor. We do not store card numbers on our systems at any point. Title in the goods passes to you on full payment and dispatch; risk passes on delivery to the address you gave us.

If a payment is reversed or charged back after dispatch, title does not pass and the goods remain ours until the position is resolved.

5. Specification, and the limits of it

We publish fibre, pH, buffering, tannage, substance, weight, dimension and manufacture on product pages because those are the properties that decide whether a material suits a job. Those statements are part of the contract and we stand behind them.

What we do not warrant is fitness for your particular purpose unless we have expressly agreed it in writing for your specific job. Conservation and binding decisions depend on the object, its condition, its environment and your treatment plan, none of which we can see. Guidance we give by email is given in good faith to help you choose; it is not a treatment recommendation and it does not transfer professional responsibility for the work from you to us.

Natural materials vary. Leather differs in area, substance and marking between skins; cloth colour is consistent within a dye lot and may differ between lots; mould-made and handmade papers vary in deckle and formation. This variation is inherent, is described on the relevant product pages, and is not a defect.

6. Availability

Stock figures are maintained in good faith but can be wrong, particularly on cut goods where a roll may end mid-order. If we cannot supply we will tell you promptly, offer an alternative or a revised date, and refund in full if neither suits.

7. Cut-to-order and made-to-order goods

Cloth and leather cut to your order, and clamshell boxes built to your measurements, are made specifically for you and cannot be returned as a change of mind. This is stated at the point of sale. Measurements you supply are your responsibility; we will query anything that looks wrong before cutting or building, but we work from the figures you give us.

Made-to-size boxes carry a stated ten-working-day lead time. We tell you that before you order.

8. Delivery

Delivery estimates are estimates. We dispatch to the schedule on our shipping page and we notify you before the dispatch date if something will be late. We are not liable for delays caused by carriers, weather, or events outside our reasonable control, but we will chase the carrier on your behalf rather than leaving that to you.

You must inspect goods on delivery. Damage or shortage must be reported within seven days, with photographs of the outer packaging and the contents.

9. Returns

Our returns position is set out in full on the returns page and forms part of these terms. In summary: thirty days on unused goods in original packaging, at your cost for a change of mind; at our cost and without time limit where the goods are faulty, damaged or not as described. The exclusions for cut-to-order goods, opened adhesives and opened gold leaf do not apply to faulty goods.

10. Liability

Our total liability arising out of or in connection with any order is limited to the price paid for the goods in that order, except where liability cannot lawfully be limited. We are not liable for indirect or consequential loss, including loss of profit, loss of contract, damage to an object being treated, or the cost of redoing work.

That last point is deliberate and we would rather state it plainly than bury it. You are the person who decides what to apply to an object. We supply materials to a published specification; we do not and cannot supervise their use.

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

11. Safety and intended use

Presses, shears and cutting tools are capable of serious injury. Board shears in particular must be used with the hold-down engaged and kept out of reach of anyone not trained on them. Goods are sold for use by competent adults in a workshop or studio setting. Keep blades, needles and awls away from children.

Our adhesives are water-based and non-hazardous in normal use, but they are not food and the wheat starch contains wheat. Safety information supplied with a product takes precedence over anything general on this site.

12. Intellectual property

The text, photography, specification tables and page structure on this site are ours. You may quote short extracts with attribution — and we would rather you did that than paraphrase a specification inaccurately. You may not reproduce the catalogue wholesale, scrape it, or reuse our photography.

13. Privacy

How we handle your data is set out on the privacy page, which forms part of these terms.

14. Changes to these terms

We may revise these terms. The version that applies to your order is the version published when you placed it, and we date every revision at the top of this page so you can tell.

15. Governing law

These terms and any dispute arising from them are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, and the state and federal courts located in Collin County, Texas have exclusive jurisdiction.
